Why do business successions fail despite regulated contracts?

business conflict

Many family business owners experience that succession has long been formally completed. Shares have been transferred, contracts signed, consultants involved. Outwardly, everything seems settled.

For better readability, we have chosen the terms "Senior" and "Successor," but we intend to address female owners and successors in the same way.

Within the family and the company, a different picture emerges:

  • Constant stress between senior and successor
  • Inability to let go
  • Fear of losing one's life's work
  • Constant comparison with the predecessor
  • Unspoken conflicts and injuries
  • Loyalty conflicts within the leadership team
  • Withdrawal of family members who feel overlooked or unappreciated
  • Family peace vs. business security

We hear these statements regarding business succession almost daily from entrepreneurs:

  • "On paper, the handover is complete, but in everyday life, the senior continues to interfere. I'm caught between two stools and don't know who is really making decisions here."
  • We initially tried pure factual consultants: tax advisors, lawyers, M&A consulting. Everything was technically sound, but our personal conflicts and emotions remained unresolved."
  • I wish for a clear, recognized role as successor, in which I can make decisions without constantly being compared to the past, and the senior lets go."

The True Causes of Conflicts in Business Succession

Succession in a family business always affects three systems simultaneously:

  • the entrepreneurial family
  • the company
  • the owners

The Three-Circle Model illustrates these areas, but what lies beneath is crucial: the common foundation of the basic needs of all involved.

Business succession three systems family business, family and owner

The foundation consists of the System Laws as basic needs:

For this, we use Dr. Bischop's communication model as a house model. The factual and relationship levels form the roof and walls; the foundation consists of the System Laws with needs such as belonging, recognition, justice, status, and a clear role within the system.

If these basic needs are ignored or violated for years, we speak of System Law Violations. They lead to anger, disappointment, inner withdrawal, or open escalation and often break out precisely when the pressure of succession increases.

System Empowering focuses on the foundation:

If the senior, successor, and other family and owner circles do not feel a sense of belonging, fair treatment, or appreciation, the foundation begins to waver. Contracts, tax models, and organizational charts then become merely the roof of a house whose floor has cracks. We address precisely this foundation so that all three systems – family, business, and ownership – return to a harmonious order and those involved feel a sense of belonging and respect.

We describe the typical emotional conflicts in business succession in detail in our podcast and article Resolving Emotional Conflicts in Business Succession.

Business Succession Consulting with System Empowering: How We Work

Dr Dieter Bischop Hanseatic Institute Hamburg

System Empowering resolves the emotional injuries that traditional succession consulting overlooks.
We describe in detail how we work with System Empowering in succession processes and why the foundation of the System Laws is so crucial on our System Empowering Methods page.

SystemEmpowering starts where these injuries originated:

  • Lack of recognition for the senior's life's work
  • The successor's feeling of never being quite good enough
  • Unspoken tensions between siblings
  • Loyalty conflicts between family and business
  • Offenses and injustices that have accumulated over years

With System Empowering, these injuries are gradually made visible and resolved. System Laws such as belonging, respect, balance, and rank are restored.
This creates a foundation upon which factual solutions are also internally coherent.

You can find a comprehensive overview of business succession in family businesses in our guide Mastering Business Succession.

This is how entrepreneurs experience their situation before working with System Empowering:

  • "Family conflicts are downplayed to maintain the appearance of harmony. In reality, the atmosphere is tense, and I take that tension home with me.
  • For a long time, we thought: We'll sort this out within the family. But the discussions always escalated or came to nothing because old issues and injuries interfered.
  • My goal is for family and business to interact more calmly again, for us to understand each other, and to be able to address conflicts openly without everything immediately escalating."

Experience this in my novel about accompanying a business succession.

Business Succession

Our Consulting Process for Business Succession

We work with a clear, manageable roadmap that we adapt to your situation.

1

Clarify the Situation

We start with a confidential discussion with the senior, successor, or the entrepreneurial couple.

We clarify:

  • Who belongs to the system? Family, ownership, business
  • Which conflicts are visible, and which are only perceptible?
  • Which previous succession steps have been taken?

You will receive an initial assessment of where System Law Violations are at play and how changes can be achieved.

2

Stabilize the Foundation

In individual appointments and joint sessions, we use SystemEmpowering to resolve the emotional injuries that stand in the way of sustainable succession.

Typical goals:

  • The senior is honored for their life's work and can hand over the business and let go internally.
  • The successor can accept the entrepreneurial role with an inner 'yes'.
  • Siblings and other stakeholders feel seen and not left behind.
  • Family and business are not experienced as adversaries, but as interconnected systems.

3

Define Roles, Rules, and Handover

On this basis, we clarify roles, responsibilities, and decision-making processes in a way that suits your system and respects the System Laws:

  • for the successor
  • Support for the senior entrepreneur in letting go
  • Involvement of leadership levels and key employees

If necessary, we accompany communication within the family and the company so that the new order is lived out in daily life and not just on paper.

We offer our support in Hamburg, among other locations.

The Result: A Stable Foundation, Trust, Growth, and a Happy Family

When conflicts are resolved at their root, instead of merely being superficially treated, trust, satisfaction, and recognition emerge for everyone.

In Your Business

  • Senior and successor work together in alignment, responsibilities are clear.
  • Decisions are made quickly and transparently.
  • Leaders and employees experience orientation, stability, and reliability.
  • Teams identify with the company and are loyal
  • Succession is perceived within the company as a consistent step towards a secure future.

In Your Family

  • Siblings, partners, and other family members feel seen, heard, and included.
  • Owner couples stand together clearly and powerfully, even after separation
  • Discussions about roles, money, and responsibility are conducted respectfully and solution-oriented.
  • The family gains cohesion and mutual trust.
  • Family and business are experienced as interconnected, with clear and aligned expectations.

For the Owners (Senior and Successor)

  • The senior experiences their life's work being honored and can hand over with a good feeling.
  • The successor confidently grows into the entrepreneurial role and can affirm it internally.
  • Both gain clarity about their current and future roles and responsibilities.
  • Senior and successor can see themselves as reliable partners for the next development phase of the company.

Don't Let Unresolved Conflicts Determine Your Future

Not deciding is also a decision.

If conflicts in succession are not addressed, this manifests through:

Permanently strained family relationships

Internal or open power struggles between generations

Increasing stress and health problems for you or people in your environment

High personal burden for senior, successor, and family

Your Next Step

Dr Dieter Bischop Hanseatic Institute Hamburg

If you feel that more is at stake in your business succession than shares and contracts, now is a good time to clarify the foundation.

Three Case Studies from Our Business Succession Consulting

Exclusion of the Senior

Most family successions fail when the family business transitions to the second generation, the grandchild generation. Often, the junior is prepared for the takeover through a business administration degree. The old boss was still someone who could lend a hand, developed things himself, walked around the factory halls, and still knew the employees personally.

The junior does everything differently. Numbers or new structures like IT, cost accounting, or new forms of interaction are important to him. He may also have no feeling for research and development, for the products, and no direct contact with the employees.

The employees and the senior no longer feel appreciated and excluded, and the old culture is not valued. The employees are loyal to the old ways and the senior, wanting to keep him and mob out the junior. In such a situation, the senior cannot let go and must stand up for the old. This inevitably leads to a struggle between senior and junior.

Knowledge and application of the System Laws, such as recognition, can contribute to a solution.

In this specific case, it meant resolving the injuries between senior and junior, so that the junior could now acknowledge his father's life's work, and his father, in turn, could trustingly allow the new. The future security of the company is now advanced with the attitude of always integrating the good and proven from the past into new developments. In this way, long-standing employees can naturally build respect for the junior as successor.

Unconsciously Wanting to Drive the Acquired Company into the Ground

The owner of a large holding company with three firms A, B, and C took them over from his father. The father was a strong driving force and developer for the largest of the three firms, A. He and his wife separated for this reason, as firm A was more important to him. This led to System Law Violations for the mother, for him, and for the son. The son then grew up with his mother and stepfather.

When he then took over the holding from his father, unconsciously, as a reaction to the exclusion and lack of recognition of the father towards the mother and son, he wanted to drive the company into the ground. He only became aware of this in SystemEmpowering Coaching. The solution for him was to sell firm A. He kept the holding and firms B and C. And he founded a new company where he could realize his own vision.

War Grandchildren Trauma Fear as Driver and Blocker

If an ancestor, e.g., the grandfather, died in the war and the injuries such as suffering, grief, fear, and anger were not resolved by those left behind, or even worse, the grandfather is silenced, it very often happens that a son or daughter moves up into the role of the grandfather, i.e., takes responsibility for the grandmother and also for the younger siblings. This generational shift continues, so that the grandchild (the child of the one who moved up) also moves up and takes on the role of the grandfather and even more strongly the role of the one who moved up.

This 'moving up' has strong negative effects and is also evident in succession. The future successor is not yet the CEO but already behaves as such towards his father. This leads to System Law Violations. The cause is that the son unconsciously acts from the role of the grandfather.

The solution here lay in the application of the Genea Method, with which we can resolve suffering from war experiences, even in ancestors, through inner constellation work.

The result of this process was that all ancestors give the grandfather a living place, resolve grief and anger, can/may speak about him, he stands powerfully by the grandmother's side, and both can stand side by side as a young, balanced couple. This leads to the son not moving up to the grandfather's place 'in the new' and thus everyone acts from the systemically 'correct' place, acknowledging the past and growing appropriately into responsibility.

FAQ on Succession in Family Businesses
